Terms and Conditions of CIMCO Subscription Based Reseller Program
Thank you for your interest in the CIMCO Subscription Based Reseller Program.
Agreement to the Terms and Conditions below will serve as a supplement to the CIMCO General Terms and Conditions defined in the reseller agreement. In case of inconsistencies between the two documents, the Terms and Conditions of the CIMCO Subscription Based Reseller Program will prevail.
Below you will find detail concerning how the CIMCO Subscription Based Reseller Program works, reseller requirements, and payment details.
User is defined as any person browsing the Internet and visiting the affiliate page of the CIMCO website.
Buyer is defined as any user that has purchased in our online store.
Reseller is any company adhering to CIMCO Reseller Program or the CIMCO Subscription Based Reseller Program and is subject to these Terms and Conditions. Any reference to you, your, yours must be held as a reference to the Reseller.
CIMCO is the author of this document, and any reference in this document as we, us, or our should be held as a reference to CIMCO.
Becoming a CIMCO Reseller
To become a CIMCO Subscription Based Reseller, please fill out the application found at https://shop.cimco.com/reseller-application/
With the submission of the application, the reseller agrees that they are solely responsible for providing service and support for all products or licenses for which they were selected as the reseller.
When accepted into the CIMCO Subscription Based Reseller Program, you will have access to an affiliate link or referral link. This link will be automatically generated and can be used in marketing.
Each purchase from our online store utilizing your link provided via your marketing efforts will earn a commission equal to the agreed percentage on the purchase price of the products bought by that user.
Reseller percentage
The Reseller percentage for our products is the percentage set in your CIMCO reseller contract less 10%.
Cookies
We use cookies to track users who reach our store through your affiliate link (or referral link). If your users do not allow or clear cookies, we will not be able to track your affiliate link, and therefore, we will not be able to pay you the provision.
Payments
Payments for Resellers in the USA:
Each subscription purchased with you specified as the reseller will be credited to your CIMCO Subscription Reseller account. Accrued funds with totals exceeding $500 will be dispersed yearly in the month of December in the form of a software credit. This credit will be valid for one year and can be applied to existing or future software purchases. An invoice for the amount to be credited is required and must be submitted to CIMCO before December 15th of each year to receive the disbursement. Disbursements will be made by the end of December. If at any time the total allocation exceeds $10,000, you may make a special request for credit issuance mid-year. The reseller may need to complete required tax forms or certificates if required by law. If we are not able to produce your credit due to missing or incomplete information, we will commence with producing your credit as soon as possible.
Payments for Resellers Outside of the USA:
Each subscription purchased with you specified as the reseller will be credited to your CIMCO Subscription Reseller account. Accrued funds with totals exceeding $500 in a period of 3 months will be paid to you after you submit an invoice to CIMCO according to our instructions. The invoice must be submitted to CIMCO before January 15th of each year to receive the payment in time. Payments will be made by the end of January. If at any time the total allocation exceeds $10,000, you may make a special request for payment mid-year. The reseller may need to complete required tax forms or certificates if required by law. If we are not able to make the payment due to missing or incomplete information, we will commence with making the payment as soon as possible.
Currency conversion
The reseller reimbursement will be made in the same currency used to pay for the software. CIMCO is not responsible for currency conversion of your earnings from USD into any other currency, nor are we responsible for any possible conversion costs that your financial institution might apply.
Refunds
If any of the purchases related to your Reseller earnings is subject to refund or chargeback, we can, at our discretion, withdraw the associated commission from your Reseller earnings.
Protection of End Users
• Any act that could be confusing, misleading or deceptive for Users, including implying that your website is managed by CIMCO (e.g. by emulating graphic elements from our website) is a violation of these Terms and Conditions.
• Our trademarks or domains or intellectual properties are property of CIMCO and you cannot use them without our permission.
• You cannot purchase a domain name, search engine keywords nor pay-per-click advertisements that use our trademarks or any possible variation of them, nor use texts that describe our products, without our permission.
• You cannot act against Users in any form that is in violation of any law, including spam, privacy, intellectual property violations, fraud, confusing actions for new users or links purposely made to deceive customers.
• You may not act in any way that can be construed as direct or indirect contravention of CIMCO Terms and Conditions, or behave in any way that does not conforms to our standards.
Fairness policy
We reserve the right to decide whether or not your use of the Reseller Subscription Program complies with CIMCO Reseller Program Terms or with CIMCO Terms and Conditions. If we decide that your participation in the Reseller Program does not comply, after official communication, we may withdraw your earnings and may disable your account.
CIMCO Reseller Program is subject to a fairness and integrity policy that has to be respected, and that entitles CIMCO to consider revising for each unfair Reseller.
